AGREEMENT TO PURCHASE KENJI BOT SOFTWARE This Agreement ("Agreement") is made effective as of the date of purchase of the Kenji Bot software ("Software") by the purchaser ("You"). PURCHASE AND PAYMENT TERMS You agree to purchase the Software and pay the full purchase price as indicated on the payment page. LICENSE TO USE SOFTWARE Upon payment of the purchase price, You will be granted a nonexclusive, non-transferable license to use the Software. The license is limited to use by a single user on a single Discord account, and is subject to the terms and conditions of this Agreement. NO REFUNDS You acknowledge that the purchase of the Software is final and no refunds will be issued. You have reviewed and understand the features and functionality of the Software prior to purchase. KEY BINDING AND DISCORD UNBINDING The license key for the Software will be bound to the email address used during purchase and cannot be unbound for security reasons. If your key is lost or stolen, please contact us to recover your key. However, you are able to unbind your Discord account from the Software if needed. SUPPORT AND UPDATES We will provide reasonable support for the Software for the duration of the license. We may provide updates to the Software from time to time, at our sole discretion. INTELLECTUAL PROPERTY The Software, including any updates or modifications, and all related intellectual property rights, are and will remain the exclusive property of the licensor. You may not remove any copyright or other proprietary notices from the Software. WARRANTY DISCLAIMER The Software is provided "as is" without warranty of any kind, either express or implied, including, but not limited to, the implied warranties of merchantability and fitness for a particular purpose. The entire risk as to the quality and performance of the Software is with You. LIMITATION OF LIABILITY In no event shall the licensor be liable for any damages whatsoever arising out of the use of or inability to use the Software, even if the licensor has been advised of the possibility of such damages. TERMINATION This Agreement and the license granted hereunder will terminate automatically if You breach any of the terms or conditions of this Agreement. Upon termination, You shall immediately cease all use of the Software. ENTIRE AGREEMENT This Agreement constitutes the entire agreement between the parties with respect to the purchase of the Software and supersedes all prior or contemporaneous agreements and understandings, whether written or oral. GOVERNING LAW AND JURISDICTION This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction where the licensor is located, without giving effect to any principles of conflicts of law. Any legal action or proceeding arising under this Agreement shall be brought exclusively in the courts located in that jurisdiction. BY PURCHASING THE SOFTWARE, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS.
